OmniComm Systems Announces Auditor Change

FORT LAUDERDALE, Fla., Aug. 3 /PRNewswire-FirstCall/ -- OmniComm Systems, Inc. , (the "Company") a global provider of eClinical solutions, today announced that Webb & Company, P.A. ("Webb"), a South-Florida-based public accounting firm, had accepted an engagement as the Company's new independent auditors for the fiscal year ending December 31, 2010. Webb replaces the Company's previous independent auditors, Greenberg & Company, LLC ("Greenberg"), effective with the Company's second fiscal quarter of 2010. The Company will retain Greenberg's services for financial advisory matters.

"We have enjoyed a very positive relationship with Greenberg & Company, LLC and are grateful for the excellent work they have done for us over the years," said Ronald Linares, Chief Financial Officer of OmniComm Systems. "The decision to make a change at this time is a mutual one, given that Greenberg's focus has moved away from the audit of public companies and that OmniComm's growth over the past few years has increased the need for a local audit firm with a broader SEC and PCAOB audit practice. We look forward to a continued relationship with Greenberg & Company, LLC in their new role as financial advisors."

"The focus of our practice has shifted from performing SEC and PCAOB regulated audits to include more financial advisory work along with our existing tax practice," said Greenberg & Company, LLC partner Stuart Greenberg. "We are pleased to have the opportunity to provide non-audit services to OmniComm and look forward to a continued relationship."

Webb & Company, P.A., was selected based on the criteria of being local and having the knowledge, resources and experience to efficiently carry out industry related public company audits.

The Company's decision to change auditors was not due to any disagreements between the Company and its former auditors on any matter of accounting principles or practices, financial statement disclosure, or auditing scope and procedure.
