American Capital Agency Corp. Announces Pricing of Public Offering of Common Stock

BETHESDA, Md., Jan. 13, 2011 /PRNewswire/ -- American Capital Agency Corp. ("AGNC" or the "Company") announced today that it priced its public offering of 23,400,000 shares of its common stock at $28.00 per share for net proceeds of approximately $625 million, after deducting underwriting discounts and estimated offering expenses. In connection with the offering, the Company has granted the underwriters an option for 30 days to purchase up to an additional 3,510,000 shares of common stock to cover overallotments, if any. The offering is subject to market and other conditions and is expected to close on January 20, 2011.

AGNC expects to use the net proceeds from this offering to acquire additional agency securities as market conditions warrant and for general corporate purposes.

BofA Merrill Lynch, Citi, Deutsche Bank Securities and UBS Investment Bank are joint book-running managers for the offering. J.P. Morgan Securities LLC and Wells Fargo Securities, LLC are co-lead managers for the offering, and Mitsubishi UFJ Securities, Nomura, RBC Capital Markets and Wunderlich Securities are co-managers for the offering.
