Elbit Imaging Announces Results of "Dutch Auction" to the Public for its Debenture Offering in Israel

TEL AVIV, Israel, March 13, 2011 /PRNewswire-FirstCall/ -- Elbit Imaging Ltd. ("Elbit") announced today, following its previous report dated March 9, 2011, that the offering by way of "Dutch Auction" to the public in connection with a proposed public offering in Israel by way of extending its existing Series D Debentures, pursuant to the shelf prospectus filed on July 21, 2009, has concluded.

Elbit offered up to NIS 120 million principal amount of Series D Debentures, linked to the Israeli consumer price index of February 2007. The debentures bear fixed interest at a rate of 5.0% per year. Interest will be payable on April 1 and October 1 of each of the years 2007 through 2020.

The Series D Debentures were initially issued without a discount rate. Following an issuance of Series D Debentures in a private placement in November 2010, the discount rate of the Series D Debentures was 0.3%. Following this proposed public offering, the discount rate will be 0.66%.

The final closing principal amount determined in the auction amounted to NIS 96 million at a price of NIS 1,128 per unit (each unit is comprised of NIS 1,000 principal amount), representing a 6.03% yield per annum. Elbit Expects to receive aggregate gross proceeds of NIS 107 million as a result of The offering.
