ST. LOUIS, May 16, 2011 /PRNewswire/ -- Energizer Holdings, Inc. (NYSE: ENR) announced today the pricing of its offering of $600 million aggregate principal amount of its 4.70% Senior Notes due 2021 in a private placement. The offering is expected to close on May 19, 2011 subject to customary closing conditions. Energizer estimates that its net proceeds from the offering will be approximately $595 million after offering expenses, and intends to use such net proceeds to refinance approximately $575 million outstanding indebtedness and other general corporate purposes.
The notes will be sold to qualified institutional buyers pursuant to Rule 144A (and outside the United States in reliance on Regulation S) under the Securities Act of 1933, as amended. The notes have not been registered under the Securities Act or applicable state securities laws, and may not be offered or sold absent registration under the Securities Act or applicable state securities laws or applicable exemptions from registration requirements.
