The definitive acquisition agreement involves an all cash transaction valued at approximately $3 billion. The transaction is expected to be completed in the second half of 2011.
"We are investigating the fairness of the proposed transaction to Emdeon Inc. shareholders, whether the shareholders are being underpaid for their stock, and whether Emdeon Inc.'s Board of Directors acted in the shareholders' best interest," said shareholder rights attorney Willie Briscoe. In particular, according to Thompson/First Call, analysts have set a target price for Emdeon/EM shares as high as $21.00 per share. Further, although the acquisition price represents an approximate 16% premium over Emdeon Inc.'s closing price the day before the acquisition announcement, in just the prior 30-day period (July 5, 2011 through August 3, 2011), Emdeon Inc.'s shares have increased in value over 25%. "Based on these and other factors, we believe that the transaction undervalues the inherent value of Emdeon Inc. stock, and our anticipated lawsuit will seek to obtain the highest share price for all shareholders," said Willie Briscoe.
