Elephant Talk Communications to Hold 2012 Annual Stockholders Meeting on October 4, 2012

The following proposals will be submitted for shareholder approval, as fully described in the proxy statement filed with the U.S. Securities and Exchange Commission and distributed to shareholders on August 24, 2012.

  1. To elect five directors for a term expiring at the Company's next annual meeting or until their successors are duly elected and qualified;
  2. The approval of our issuance of shares in connection with the conversions and stock payments associated with certain 8% senior secured convertible notes issued on March 30, 2012;
  3. To ratify the appointment of BDO USA LLP as our independent registered public accounting firm for the fiscal year ending December 31, 2012;
  4. To conduct a non-binding advisory vote on executive compensation;
  5. To conduct a non-binding advisory vote recommending the frequency of advisory votes on executive compensation;
  6. To transact such other business as may properly come before the meeting or any adjournment or postponements thereof.
