investigating the Board of Directors of American Pacific Corporation ("American Pacific" or the "Company") (

) for potential breaches of fiduciary duties in connection with their conduct related to the sale of the Company to H.I.G. Capital, LLC in a cash deal valued at approximately $392 million. Under the terms of the proposed transaction, American Pacific's stockholders will receive $46.50 for each share of American Pacific common stock they own.
