Proventus Receives an Offer of Takeover

The Company announces that it is in discussions with a Public Limited Company involved in the renewables industry with a view to a takeover of Proventus in a share swap/cash based transaction.
In light of these ongoing discussions and the separate process whereby the company is currently engaged in seeking a standard listing on the Main Market London Stock Exchange, the Board, owning over 75% of the shareholding, has decided to withdraw its listing from GXG First Quote Market.
Whether alone or through the proposed takeover, the Directors are confident that shareholder value will be maximised as we continue to concentrate efforts on the development of renewable energy projects in Mainland Europe as well as in Great Britain and Ireland.
The Directors are committed to bring the company forward in whatever structure will best serve the company and its shareholders.
Shareholders will be kept informed of developments.
