   Election of the Chairman of the Board and other organizational matters 
 
      Moscow, Russian Federation (26 June 2020) - Public Joint Stock Company 
"MegaFon", a pan-Russian operator of digital opportunities ("MegaFon" or the 
   "Company"), announces that the Company's Board of Directors, at a meeting 
        held by absentee voting on 25 June 2020, took the following actions: 
 
1) To elect Mr. Vladimir Streshinsky as the Chairman of the Company's 
Board of Directors. 
 
2) To appoint Ms. Daria Lizunova as the Company's Corporate Secretary. 
 
3) To re-constitute the following committees of the Company's Board of 
Directors: 
 
a) Audit Committee; 
 
b) Finance and Strategy Committee; 
 
c) Remuneration and Nominations Committee. 
 
4) To elect Mr. Johan Dennelind as Chairman, Mr. Maxim Anipkin and Mr. 
Emin Antonyan as members of the Audit Committee. 
 
5) To elect Mr. Anton Cherepennikov as Chairman, Mr. Evgeny Bystrykh and 
Mr. Khachatur Pombukhchyan as members of the Finance and Strategy 
Committee. 
 
6) To elect Mr. Vladimir Streshinsky as Chairman, Mr. Evgeny Bystrykh and 
Mr. Anton Cherepennikov as members of the Remuneration and Nominations 
Committee.
