   Moscow, 18 November 2020 - Sistema PJSFC ("Sistema" or the "Corporation") 
      (LSE: SSA, MOEX: AFKS), a publicly-traded diversified holding company, 
         announces that it has entered into a private placement agreement to 
purchase, concurrently with, and subject to, the completion of the potential 
     initial public offering of the American Depository Shares (ADSs) of its 
portfolio company Ozon, shares or ADSs of Ozon at the price per share or ADS 
   equal to the initial public offering price per ADS, for a total amount of 
                         USD 67.5 mln. 
 
       Fund entities advised by Baring Vostok Capital Partners Group Limited 
 ("Baring Vostok")" have likewise entered into a private placement agreement 
    to purchase, concurrently with, and subject to, the completion of Ozon's 
   initial public offering, shares or ADSs of Ozon at the price per share or 
  ADS equal to the initial public offering price per ADS, for a total amount 
   of USD 67.5 mln. Sistema and Baring Vostok have also agreed to enter into 
    lock-up agreements pertaining to their total shareholdings in Ozon for a 
  period of 180 days after the date of the final prospectus used to sell the 
                         ADSs in Ozon's initial public offering.
