("BioNxt" or the "Company") (CSE:BNXT)(OTCQB:BNXTF)(FSE:BXT) announces that, further to its news release of March 27, 2023, the Company has closed its non-brokered private placement of units previously announced on March 10, 2023. No additional tranches of the non-brokered private placement were completed.
The securities issued pursuant to the Offering have not, nor will they be registered under the United States Securities Act of 1933, as amended, and may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons in the absence of U.S. registration or an applicable exemption from the U.S. registration requirements. The Company also announces that it has granted incentive stock options authorizing the purchase of 1,740,000 common shares (the "Options") to officers and directors and to consultants of the Company. The Options are exercisable at $0.80 per share for a period of three years and two years respectively from the date of grant. The Options have been granted under and are governed by the terms of the Company's incentive stock option plan.
