("BioNxt" or the "Company") (CSE:BNXT) (OTCQB:XPHYF) (FSE:4XT) is pleased to announce that, further to its news releases dated August 4, August 28, and September 29, 2023, the Company has closed the third and final tranche of its non-brokered private placement in the amount of 2,050,000 common shares in the capital of the Company (the "Shares") at a price of $0.265 per Share for gross proceeds of $543,250 (the "Final Tranche"). The total placement size, cumulative of all tranches, was 7,550,000 Shares for gross proceeds of $2,000,750 (the "Offering").
The Company intends to use the net proceeds from the Offering, including the Final Tranche, to fund its research, development, and commercialization activities and for general working capital purposes.
In connection with closing of the Final Tranche, the Company paid cash finder's fees in the amount of $43,460 to an eligible finder.
All securities issued in connection with closing of the Offering, including those issued in the Final Tranche, will be subject to a statutory hold period of four months plus a day from the date of issuance in accordance with applicable securities legislation.
