("Xander" or the "Company")(TSXV:XND)(FSX:1XI) is pleased to announce that, subject to the approval of the TSX Venture Exchange (the "Exchange") it intends to complete a non-brokered private placement of up to 663,600 common shares (each a "Share") at a price of $0.19 per Share for gross proceeds of up to $126,084 (the "Offering").
The Offering is being conducted under the listed issuer financing exemption as per Part 5A of National Instrument 45-106 - Prospectus Exemptions. As a result, the securities issued will not be subject to a hold period under the prevailing Canadian securities laws. Closing of the Offering may take place in one or more tranches as determined by the Company and is subject to certain conditions including, but not limited to, the receipt of all necessary regulatory approvals, including approval from the Exchange.
