Sudbury, Ontario--(Newsfile Corp. - September 4, 2025) - Magna Mining Inc. (TSXV: NICU) (OTCQX: MGMNF) (FSE: 8YD) ("Magna" or the "Company") announces the following grants of security-based compensation to non-executive directors of the Company, effective September 4, 2025.
- 44,073 deferred share units were granted to non-executive directors of the Company. Each deferred share unit will vest upon a director's retirement from the Board of Directors and will entitle the holder to receive one common share.
- 278,363 options were granted to non-executive directors of the Company. Each option shall vest immediately and is exercisable to acquire one common share at an exercise price of $2.70 per common share for a period of five years from the date of grant.
All grants have been made under the Company's omnibus equity incentive plan (the "Omnibus Plan") that was approved by the shareholders of the Company on June 26, 2025. The Omnibus Plan is a "rolling" 10% plan and provides for the grant of options, restricted share units, performance share units and deferred share units. The aggregate number of common shares reserved for issuance pursuant to the Omnibus Plan and all other security-based compensation arrangements of the Company, at any time, must not exceed 10% of the Company's total issued and outstanding common shares.
