Vancouver, British Columbia, Dec. 15, 2025 (GLOBE NEWSWIRE) -- NEW EARTH RESOURCES CORP. (CSE: EATH) ("New Earth" or the "Company") is pleased to announce that it will be conducting a non-brokered private placement (the "Offering") under which it will raise aggregate gross proceeds of up to $1,750,000.
The Offering will consist of the issuance of: up to 2,000,000 units (each, a "Unit") at a price of $0.375 per Unit for gross proceeds of $750,000; and up to 2,222,222 flow-through units (each, an "FT Unit") at a price of $0.45 per FT Unit for gross proceeds of up to $1,000,000. Each Unit will consist of one Class A common share (each, a "Share") and one Share purchase warrant (each, a "Warrant", entitling the holder to purchase one Share at a price of $0.50 per Share for a period of thirty-six (36) months from the date of issuance). Each FT Unit will consist of one "flow-through" Share and one Share purchase warrant (each, a "FT Unit Warrant", entitling the holder to purchase one Share at a price of $0.60 per Share for a period of thirty-six (36) months from the date of issuance).
The Company intends to use the proceeds from the sale of the Units for general working capital. The proceeds received by the Company from the sale of FT Units will be used to incur eligible "Canadian exploration expenses" ("CEE") that are "flow-through mining expenditures" (as such term is defined in the Income Tax Act (Canada)) on the Company's mineral exploration properties located in Canada.
The Company may pay finder's fees and may issue finder's warrants in connection with the Offering. Securities issued under the Offering will be subject to a four month hold period in accordance with applicable Canadian securities laws. Insiders of the Company may participate in the Offering.
