AMSTERDAM (Thomson Financial) - Randstad Holdings NV's largest shareholder and founder, Frits Goldschmeding, has transferred shares held in one holding vehicle to another, forcing him under Dutch law to declare a 43.33 pct stake in the Dutch staffing company.
A filing with Dutch stock markets regulator AFM this morning revealed Goldschmeding has 43.33 pct of Randstad, up from 37.90 pct declared on Nov 1 2006.
The obligation to report the new filing arose on 28 Dec 2007.
Under Dutch law, shareholders are obliged to report a stake if it exceeds or falls below 5 pct or multiples of 5 thereafter and at certain other threshholds.
A Randstad spokesman said Goldschmeding transferred shares held by Gaud Holding to Randstad Beheer, which administers Goldschmeding's stake in the company.
He added Gaud Holding -- which held more than a 5 pct stake in Randstad intended for Goldschmeding's daughters -- will now need to report to AFM its stake has fallen to zero.
The spokesman stressed no shares were bought or sold and the transfer of stakes was done to reduce 'red tape' as Randstad prepares to launch its takeover bid for Dutch peer Vedior NV.
Together with the Randstad option fund, Goldschmeding still directly and indirectly holds 46.5 pct in Randstad, as per the announcement on Dec 3 when Randstad and Vedior announced their intention to join forces.
