June 22 (Reuters) - Peregrine Pharmaceuticals Inc:

* Says company may terminate the agreement at any time upon 30 days prior

notice - filing

* Says entered into an at market issuance sales agreement with McNicoll, Lewis

& Vlak LLC

* May sell an aggregate of $15,000,000 in gross proceeds of the company's

common stock from time to time

* Says will pay MLV a commission equal to 2% of the gross proceeds from the

sale of shares of the company's common stock
