Oct 15 (Reuters) - Mindoro Resources Ltd:

* Announces prospectus offering in Australia and concurrent private placement

to raise up to A$10million

* Intends to lodge prospectus with the Australian securities and investment

commission to raise about C$8 million

* Says prospectus offering will consist of 40,000,000 chess depository

interests to be issued at A$0.20/cdi

* Says also to proceed with a private placement of C$2,000,000

* Says will issue 10,000,000 common shares at C$0.20 per share
