Annual General Meeting of Ipsen S.A. held on 13 May 2026
All the resolutions submitted to the shareholders' vote have been adopted
PARIS, FRANCE, 13 MAY 2026 - Ipsen (Euronext: IPN; ADR: IPSEY) announces today that the Annual General Meeting of the Company was held on Wednesday 13 May, 2026 at the Salons de l'Hôtel des Arts et Métiers, 9 bis, avenue d'Iéna, 75116 Paris (France), under the chairmanship of Mr. Marc de GARIDEL, Chairman of the Board of Directors, and in the presence of the members of the Board of Directors and the Group's Executive Leadership Team.
The Annual General Meeting approved all of the 19 resolutions submitted by the Board of Directors and in particular the payment of a dividend of €1.60 per share. This dividend will be paid on 5 June 2026, the ex-date being 3 June 2026.
The Meeting also approved the renewal of the terms of office of HIGHROCK S.àr.l represented by Mrs. Anne BEAUFOUR, Mr. Pascal TOUCHON, and Mr. Piet WIGERINCK, as directors, for a duration of four years as well as the ratification of the interim appointment of Mr. Peter GUENTER as director, for the remainder of his predecessor's term of office..
The Company's Articles of association were amended in order to modernize and simplify the procedures applicable to notifications of statutory shareholding thresholds (Article 10.3) and to bring the provisions relating to the record date for participation in the General Meeting into line with the applicable regulatory framework (Article 24.3).
During the Meeting, Mr. Marc de GARIDEL, Chairman of the Board of Directors, commented on the information concerning the governance and the activity of Ipsen's Board of Directors and its Committees during FY 2025. Mr. David LOEW, Chief Executive Officer, and Mr. Aymeric Le CHATELIER, Group Chief Financial Officer, focused notably on the Group strategy, the 2025 financial performance and the financial objectives for the year 2026.
