BE Group AB: BE Group's rights issue heavily oversubscribed - publishes preliminary outcome

The subscription period in BE Group AB (publ)'s ("BE Group" or the "Company") rights issue of 6,491,602 shares (the "Rights Issue") ended on 16 September 2025. The preliminary outcome of the Rights Issue indicates that 14,841,579 shares, corresponding to approximately 229 percent of the Rights Issue, have been subscribed for, with and without subscription rights. Accordingly, no guarantee undertakings will need to be utilized. Through the Rights Issue, BE Group will receive proceeds amounting to approximately SEK 143 million, before transaction costs.

The preliminary outcome of the Rights Issue indicates that 6,210,373 shares, corresponding to approximately 96 percent of the Rights Issue, have been subscribed for by exercise of subscription rights. Additionally, applications corresponding to 8,631,206 shares have been received for subscription without subscription rights, corresponding to approximately 133 percent of the Rights Issue. In aggregate, the preliminary outcome thereby indicates that approximately 229 percent of the Rights Issue has been subscribed for. The Rights Issue is thus fully subscribed and no guarantee undertakings will be utilized.

Through the Rights Issue, BE Group will receive issue proceeds amounting to approximately SEK 143 million, before transaction costs of approximately SEK 8 million, of which approximately SEK 1 million is cash compensation to the underwriters. After deduction of transaction costs, the net proceeds from the Rights Issue thus amount to approximately SEK 135 million. Through the Rights Issue, BE Group's share capital will increase by SEK 129,832,047, from SEK 260,202,495 to SEK 390,034,542 and the total number of shares will increase by 6,491,602 shares. Following the Rights Issue, the total number of shares in BE Group will amount to 19,501,726 shares, of which 26,920 shares represent BE Group's holding of own shares.

Those who have subscribed for shares without subscription rights will be allotted shares in accordance with the principles outlined in the information document published by the Company on 1 September 2025. As confirmation of allotment of shares subscribed for without subscription rights, a settlement note will be sent on or about 18 September 2025. Subscribed and allotted shares must be paid for in cash in accordance with the instructions in the settlement note. Nominee-registered shareholders will receive notice of allotment in accordance with the procedures of the nominee. Only those who have been allotted shares will be notified.

The final outcome of the Rights Issue is expected to be announced on 18 September 2025. The last day of trading with paid subscribed shares (Sw. BTA) is 26 September 2025. First day of trading for the new shares on Nasdaq Stockholm is expected to be on 30 September 2025.
